Nick Day

Managing Partner

Nick Day is a senior business lawyer, with extensive General Counsel experience in addition to large law firm training. For over 27 years he has practiced corporate law, focusing on mergers and acquisitions, contract drafting and negotiation, corporate governance, finance and securities. As General Counsel, in addition to his broad corporate law responsibilities, he has supervised insurance, safety and risk management, litigation, human resources, and a wide range of legal, business and operational projects. Mr. Day has served as the General Counsel and Corporate Secretary to UniTek Global Services, Inc., a premier provider of installation, fulfillment and construction services to the telecommunications, cable and satellite television industries. Mr. Day was responsible for all legal matters for UniTek, a public company with a workforce of over 5,000, 111 offices in the United States and Canada and sales over $300 million. Prior to joining UniTek, Mr. Day was General Counsel for Berliner Communications Inc., a public company providing construction, project management and network development to the wireless telecommunications industry. Mr. Day has also served as Senior Corporate Counsel for Net2Phone, Inc., a Nasdaq-listed provider of voice over Internet protocol, or VoIP, telephony products, and was Associate General Counsel for WorldGate Communications, Inc., a Nasdaq-listed provider of interactive television and personal video telephony products and services. Mr. Day also serves as Special Counsel to Miller Shah LLP. Miller Shah is a results-driven law firm that is focused on delivering the highest level of service possible to clients around the world. Mr. Day received his A.B. degree from Duke University and his J.D. degree, with honors, from Villanova University School of Law. He is licensed to practice law in New Jersey, Pennsylvania and California.

Alfonso Vilaboa

Partner

Alfonso Vilaboa is an international business lawyer with experience in corporate law, mergers and acquisitions, finance, and antitrust.  He has advised a wide-range of public and private companies, both in the United States and abroad. Mr. Vilaboa’s experience includes representing energy and infrastructure clients, where he has participated in transactions involving the financing, construction and operation of renewable energy generation facilities (solar and wind). He has also counseled companies in the finance sector, including in the private placement of equity securities, project-finance structured facilities, and debt workouts. Further to the above, Mr. Vilaboa has advised companies in the retail sector in several acquisitions, from drafting and negotiating letters of intent, performing due diligence,  and drafting and negotiating of stock and asset purchase agreements. Prior to joining Day & Associates, Mr. Vilaboa worked as an attorney for the Inter-American Development Bank, the largest development bank for Latin America and the Caribbean (with over 23 billion dollars in financing approvals and commitments in 2021), and Posadas, Posadas & Vecino, one of the largest law firms in Uruguay. Mr. Vilaboa holds a J.D. and a Masters in Contractual Law from the Catholic University of Uruguay, as well as an LL.M in International Business and Economic Law from Georgetown University, where he graduated with honors. He is licensed to practice law in New York and in Uruguay.

Kenneth Kaplan

Of Counsel

Ken Kaplan is a seasoned business lawyer with over 30 years’ experience in all aspects of corporate transactions. He has been a partner at several well-known law firms including Norris McLaughlin and has served as senior counsel at Lowenstein Sandler. Mr. Kaplan also has extensive experience working as in house counsel for corporations, including serving as General Counsel for Net2Phone Cable Telephony. Mr. Kaplan takes an entrepreneurial approach to all the matters he handles to make sure that the client’s goals are aligned with the strategy. This approach comes from his vast legal experience and from being an entrepreneur himself. Mr. Kaplan founded his own boutique business law firm, which he merged into Day & Associates. He also built a number of successful businesses of his own including a luxury 5-star wellness business. Mr. Kaplan focuses his practice on business law and has managed more than 1000 business transactions for private and public companies throughout the United States and internationally. He routinely serves as lead counsel on complex acquisition, financing and transactional matters. Mr. Kaplan received his Juris Doctorate from Rutgers University School of Law – Newark; he also holds a Master’s Degree in Computer Information Systems from the University of Phoenix, and a Bachelor’s Degree from New York University. He is admitted to practice in New York and New Jersey.

Akhurapa Ambak

Associate Attorney

Mr. Ambak is a business lawyer with experience in corporate law, mergers and acquisitions, and finance. He has represented clients in domestic transactions in various industries, including cannabis, finance, and others. He has also supported clients on a variety of general corporate matters, including entity formation, drafting corporate documents, corporate governance, contract review and negotiation, licensing and regulatory compliance. Before joining Day & Associates, Mr. Ambak worked as an associate attorney at the Law Office of Matthew Kumin. While there he advised clients, primarily closely held companies, on a broad range of matters and legal issues, including securities law, government practice, regulatory compliance, M&A, executive compensation, investment management, and financing of emerging companies. He has also led due diligence efforts and negotiated licensing agreements and complex commercial contracts. Mr. Ambak started his career prior to becoming an attorney in government where he worked as a New York City Council Aide and was involved in numerous state and local political campaigns and civic organizations. Mr. Ambak earned his J.D. from Drexel University Thomas R. Kline School of Law and is licensed to practice law in New York. He Received a Bachelor’s degree in History from The City College of New York.
